Stewardship Codes and the Role of Institutional Investors in Corporate Governance: An International Comparison and Typology

Over recent decades, share ownership of listed companies has concentrated into the hands large institutional investors, challenging traditional agency theory view corporate governance as a mechanism to resolve separation and control. Alternative theories have emerged explain role investors in governance, each with slightly different on motivations these powerful shareholders nature their relationship management. These common thread – concept investor stewardship yet applies it differently. This paper explores whether should act primarily stewards investee (agency theory), beneficiaries’ funds capitalism), market/economy (universal ownership) or society (stakeholder this varies internationally. Through an analysis national codes, determines which theoretical approaches are most strongly reflected emerging policy across world. It presents typology codes framework for understanding cross-country variation policy. Stewardship influence shareholder–manager can encourage integration wider economic societal concerns finance.
